1. Application of This Policy

This Shipping Policy applies to all wholesale orders and is incorporated into every Brianna Cannon quote, order confirmation, invoice, and order acceptance. Placing an order constitutes acceptance of this policy.

Where a signed vendor agreement exists between the parties, that agreement controls only to the extent it expressly conflicts with this policy.

2. Order Minimums

Opening orders on a new account are subject to a $300 minimum. Reorders are subject to a $150 minimum. Minimums are calculated on the merchandise subtotal after discounts and before shipping, handling, and tax.

3. Payment Before Shipment

Unless Brianna Cannon has approved credit terms for the account in writing, payment in full is due before the order ships. Brianna Cannon does not release, pack, or tender an order to a carrier until payment has cleared.

Deposits. Custom, made-to-order, decorated, personalized, and special-make orders, and any order with a merchandise subtotal over $10,000, require a 50% deposit at the time the order is placed, with the balance due before shipment.

Past-due accounts. Brianna Cannon reserves the right to hold or cancel any unshipped order on an account that is past due or over its credit limit.

4. Processing Times

In-stock orders ship within 5-7 business days of payment clearing. Market, pre-book, and future-delivery orders ship according to the start-ship window stated on the order confirmation.

Business days. “Business day” means Monday through Friday, excluding United States federal holidays, determined by Brianna Cannon’s business calendar. The retailer’s own hours of operation, closures, and holiday schedule do not extend any deadline under this policy. Orders received on a weekend or holiday begin processing the next business day.

Estimates only. Processing times and ship dates are estimates and are not delivery guarantees. Volume during market weeks, licensed program launches, and peak season may extend them. A shift in an estimated ship date does not entitle the retailer to cancel; all orders are firm and non-cancellable once accepted.

5. Shipping Destinations

Brianna Cannon ships to commercial addresses within the fifty United States and the District of Columbia. Merchandise is manufactured and labeled for the United States market.

Excluded destinations. Brianna Cannon does not ship wholesale orders to residential addresses, PO boxes, freight forwarders, or destinations outside the United States without prior written approval.

International. Shipment outside the United States must be arranged in advance and is quoted individually. The retailer is responsible for all duties, tariffs, customs charges, import compliance, and any territory restrictions applicable to licensed merchandise.

6. Freight Charges

The retailer is responsible for all shipping, handling, freight, and related charges on every order. There is no free-freight threshold. Shipping is billed one of two ways, at the retailer’s election when the order is placed.

(a) Brianna Cannon’s carrier account. Brianna Cannon ships using its own carrier accounts and adds the shipping charge to the invoice at Brianna Cannon’s rate. Charges quoted at checkout are estimates and may be adjusted to reflect actual carrier charges, including dimensional weight, accessorial and limited-access fees, lift-gate service, address correction, and fuel surcharges.

(b) The retailer’s carrier account. The retailer may provide a valid FedEx or UPS account number for third-party or collect billing, in which case carrier charges bill directly to the retailer and no shipping charge appears on the Brianna Cannon invoice. The retailer is responsible for confirming that the account is active, authorized for the service level requested, and in good standing.

Rejected third-party billing. If the carrier rejects or reverses the charge for any reason — closed account, invalid number, declined third-party billing, or an unpaid carrier balance — the charge becomes payable to Brianna Cannon on its invoice at Brianna Cannon’s rate, together with any fee the carrier assesses for the rejected billing.

Retailer carrier accounts generally. Where the retailer ships on its own carrier account, Brianna Cannon is not a party to that carrier agreement and does not control or warrant the rates, service levels, guarantees, declared value, or insurance applicable to it. Any freight claim must be filed by the retailer as the account holder. Brianna Cannon does not add declared value or purchase insurance on the retailer’s account unless instructed in writing and the cost is accepted.

7. Carrier Selection and Routing

Brianna Cannon selects the carrier, service level, and routing unless the retailer provides a carrier account or routing instructions accepted in writing. Where the retailer requires a specific carrier, service level, or routing guide, the retailer is responsible for any resulting additional cost and for any delay it causes.

Routing guides and vendor requirements. Compliance with a retailer routing guide, vendor portal, EDI specification, labeling standard, or delivery appointment requirement is not undertaken unless Brianna Cannon has agreed to it in a writing signed by an authorized officer of B Cannon LLC. Absent that written agreement, chargebacks, deductions, or penalties assessed under such a guide are invalid, do not reduce the amount owed, and remain payable in full.

8. Shipping Terms and Risk of Loss

All merchandise ships FOB origin, Farmers Branch, Texas. Title and risk of loss pass to the retailer when merchandise is tendered to the carrier.

Loss or damage occurring in transit is the retailer’s claim against the carrier. Brianna Cannon will supply invoices, packing lists, photographs, and shipping documentation to support the retailer’s carrier claim, but is not liable for transit loss or damage and is not responsible for filing a claim on the retailer’s behalf.

9. Delivery, Inspection, and Notice of Issues

Please inspect every shipment upon receipt.

Visible damage or shortage at delivery. Note it on the carrier’s delivery receipt or bill of lading before signing, and photograph the carton before opening. Signing a clean delivery receipt forfeits both the carrier claim and any claim against Brianna Cannon for visible damage or shortage.

Concealed damage, defect, shortage, or wrong item. Notify Brianna Cannon in writing at wholesale@briannacannon.com within five (5) business days of the carrier-confirmed delivery date, with the documentation required by the Wholesale Return, Refund & Claims Policy. Retain the merchandise and all original packaging until the claim is resolved in writing.

After five (5) business days from delivery, the retailer accepts the shipment as delivered and assumes ownership of the merchandise in its current condition. Full claim requirements and remedies are set out in the Wholesale Return, Refund & Claims Policy.

10. Partial Shipments and Back Orders

Brianna Cannon may ship partial orders and back order the balance. Back ordered merchandise remains firm and ships when available. Brianna Cannon may cancel a back order if the merchandise becomes unavailable or discontinued. Where a style is unavailable, Brianna Cannon may offer a substitution, which the retailer is not obligated to accept.

Each shipment is invoiced separately and freight applies to each shipment.

11. Addresses, Refusals, and Undeliverable Shipments

The retailer is responsible for providing a complete and accurate shipping address, including suite or unit number, and for notifying Brianna Cannon in writing of any address change before the order ships. Address corrections assessed by the carrier are billed to the retailer.

If a shipment is refused, unclaimed, or returned as undeliverable through no fault of Brianna Cannon, the retailer remains responsible for the invoice amount plus outbound and return freight, and Brianna Cannon may assess a restocking fee. Refusal of a shipment does not cancel the order or relieve the retailer of amounts owed.

12. Officially Licensed Merchandise

Officially licensed merchandise may be shipped and resold only through the specific retail locations, e-commerce sites, and territory authorized on the retailer’s approved account. The retailer must obtain Brianna Cannon’s written approval before shipping licensed merchandise to any new location, distribution center, or third-party fulfillment provider.

Licensed merchandise removed from sale may not be resold, liquidated, donated, diverted, or transferred through any third party, and must be returned to Brianna Cannon or destroyed with written certification of destruction, according to Brianna Cannon’s written instruction.

13. Contact and Amendments

All shipping inquiries, routing requests, address changes, and delivery claims must be sent to wholesale@briannacannon.com or 469-604-6770. Notice by text, sales rep, or showroom staff does not satisfy the written notice requirements of this policy.

Brianna Cannon may amend this policy at any time. The version in effect on the date an order is placed governs that order.
