1. All Wholesale Sales Are Final
Brianna Cannon does not accept wholesale returns. All wholesale merchandise is sold on a final-sale basis. The only exceptions are damage, defect, shortage, or mis-shipment claims made under Section 2, and exchanges approved in advance under Section 4.
2. Inspection and Notice of Damages or Issues
Please inspect your order upon receipt.
Visible damage or shortage at delivery. Note it on the carrier's delivery receipt or bill of lading before signing, and photograph the carton before opening. Signing a clean delivery receipt forfeits both the carrier claim and any claim against Brianna Cannon for visible damage or shortage.
Concealed damage, defect, shortage, or wrong item. Notify Brianna Cannon in writing at wholesale@briannacannon.com within five (5) business days of the carrier-confirmed delivery date. Each claim must include:
- Brianna Cannon invoice number and your PO number
- Style name, SKU/UPC, and quantity affected
- Description of the issue
- Photographs of the affected merchandise, the shipping carton, and the carton label
- For shortages, a photograph of the packing slip
Retain the merchandise and all original packaging until the claim is resolved in writing. Do not discard, mark down, sell, alter, or ship back any merchandise before receiving written instructions from Brianna Cannon.
After five (5) business days from delivery, the retailer accepts the shipment as delivered and assumes ownership of the merchandise in its current condition.
3. Remedies
Brianna Cannon will acknowledge complete claims within five (5) business days. Where a claim is approved, the remedy is, at Brianna Cannon's sole discretion: replacement merchandise subject to availability, a credit to the retailer's account, or a refund. Account credit is the default remedy. Approved credits are issued within fifteen (15) days of approval.
Brianna Cannon's liability on any claim is limited to the invoiced value of the affected merchandise. Brianna Cannon is not responsible for lost profits, lost sales, markdown allowances, freight, labor, or other incidental or consequential damages.
4. Exchanges
Brianna Cannon may approve exchanges at its sole discretion. All exchanges must be approved in writing in advance and meet all of the following:
- Requested within thirty (30) days of delivery
- Merchandise is part of the current season line
- Merchandise is new and unused, in its original polybag, with all hangtags and licensed labeling attached
- A Return Authorization (RA) number has been issued by Brianna Cannon and is clearly marked on the outside of every carton
- Merchandise is received at Brianna Cannon within fifteen (15) days of RA issuance; RAs expire after fifteen (15) days
Shipping charges in both directions are the retailer's responsibility. Approved exchanges are subject to a 15% restocking fee on the value of the returned merchandise. Merchandise received without a valid RA number will be refused or returned freight-collect, with no credit issued.
5. Refunds
Any and all refunds must be requested in writing by the retailer and approved by Brianna Cannon.
If Brianna Cannon is unable to deliver agreed-upon merchandise, Brianna Cannon will initiate a credit or refund for the undeliverable merchandise. This is the retailer's sole remedy for non-delivery.
Approved refund amounts are applied first as a credit against the retailer's open invoices. A refund to the original payment method is issued only when the retailer's account carries no open balance. No refund or credit will be released while the account is past due; approved amounts will be offset against the past-due balance.
6. Final Sale Merchandise
The following are final sale and not eligible for exchange or refund under any circumstances, except for a valid damage or shortage claim under Section 2:
- Closeout, markdown, and clearance merchandise
- Sample sale and showroom samples
- Custom, personalized, or monogrammed merchandise
- Event-dated, gameday, and championship or commemorative merchandise
- Special-order licensed merchandise produced to the retailer's request
- Any merchandise identified as final sale on the order confirmation or invoice
7. Expected Product Variation
Brianna Cannon merchandise includes hand-set rhinestone, hand-applied embellishment, embroidery, and dyed goods. Reasonable variation in embellishment placement, stone and thread color, dye lot and shade, and finished measurements (up to ±1 inch or ±5%, whichever is greater) is inherent to these methods and is not a defect. Color differences between merchandise and digital images or screen displays are not a defect.
8. Officially Licensed Merchandise
Officially licensed merchandise may only be sold through the specific retail locations, e-commerce sites, and territory authorized on the retailer's approved account.
Licensed merchandise that is rejected, claimed as damaged or defective, or otherwise removed from sale may not be resold, liquidated, donated, diverted, transferred, or disposed of through any third party. It must be returned to Brianna Cannon or destroyed, with written certification of destruction, according to Brianna Cannon's written instruction. Licensed marks, labels, hangtags, and holograms may not be removed, obscured, or altered.
Any violation of this Section is a material breach. The retailer will indemnify and hold Brianna Cannon harmless from any claim, penalty, or loss arising from the retailer's unauthorized disposition of licensed merchandise, including claims by the applicable licensor.
9. Order Cancellations
Brianna Cannon does not accept order cancellations. All orders are firm and non-cancellable once submitted, including at-once, in-stock, market, pre-book, future-delivery, licensed, custom, and special-order merchandise. This applies without regard to the order's start-ship date, production status, or licensor approval status.
Any release from an order is granted solely at Brianna Cannon's discretion, must be approved in writing, and does not establish a course of dealing or entitle the retailer to release from any other order.
Brianna Cannon reserves the right to cancel or hold any unshipped order on an account that is past due or over its credit limit. A cancellation by Brianna Cannon under this Section does not relieve the retailer of amounts owed on merchandise already shipped.
10. Deductions and Chargebacks
The retailer may not deduct, offset, short-pay, or withhold any portion of an invoice without Brianna Cannon's prior written approval. Unauthorized deductions and chargebacks do not reduce the amount owed, remain due in full, and are subject to late charges under the invoice terms.
Any compliance, routing, or shortage chargeback must be submitted in writing with supporting documentation within thirty (30) days of the invoice date. Deductions submitted without documentation, or after thirty (30) days, are invalid and will be re-invoiced.
11. Shipping Terms and Risk of Loss
All merchandise ships FOB origin, Farmers Branch, Texas. Title and risk of loss pass to the retailer when merchandise is tendered to the carrier. Where the retailer routes the shipment on its own carrier or freight account, claims for loss or damage in transit are the retailer's responsibility; Brianna Cannon will supply invoices, packing lists, and shipping documentation to support the retailer's carrier claim.
12. Governing Terms
This policy is incorporated into every Brianna Cannon quote, order confirmation, invoice, and order acceptance. Placing an order constitutes acceptance of this policy.
Any additional or conflicting terms contained in a retailer's purchase order, vendor agreement, routing guide, or vendor portal are rejected and are not binding on Brianna Cannon unless expressly accepted in a writing signed by an authorized officer of B Cannon LLC. Where a signed vendor agreement exists between the parties, that agreement controls only to the extent it expressly conflicts with this policy.
This policy is governed by the laws of the State of Texas.
13. Contact and Amendments
All notices, claims, exchange requests, refund requests, and cancellations must be sent to wholesale@briannacannon.com. Notice by phone, text, sales rep, or showroom staff does not satisfy the written notice requirements of this policy.
Brianna Cannon may amend this policy at any time. The version in effect on the date an order is placed governs that order.
